1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the KeyBuild AI website and services. By accessing our website, contacting us, or engaging us for services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. About Us

KeyBuild AI is a brand operated by 1001060863 Ontario Corp, a corporation based in Ontario, Canada, and a sister company of KeyPlayers HQ. References to "KeyBuild", "we", "us", or "our" mean 1001060863 Ontario Corp.

3. Our Services

KeyBuild AI is an AI product studio. We design, build, and deliver custom software, including AI products, internal tools, dashboards, automations, autonomous workflows, SaaS products, and education platforms. Specific deliverables, timelines, scope, and pricing for any engagement are defined in a written proposal, statement of work, or order (a "Proposal") agreed between you and us.

Any timelines, sprint durations, or outcome statements referenced on our website are illustrative. The binding terms of any engagement are those set out in the applicable Proposal.

4. Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of yourself or the business you represent in order to use our services.

5. Engagements, Quotes, and Payment

• Fees, payment schedules, and deposits are set out in the applicable Proposal. A deposit or first payment may be required before work begins.
• Unless stated otherwise in the Proposal, invoices are due upon receipt, and ongoing engagements are billed per the agreed cycle.
• Late or missed payments may result in paused or suspended work.
• Refunds, where offered, are governed solely by the terms of the applicable Proposal.
• Prices listed on our website are estimates and may change. Quoted pricing in a Proposal controls.

6. Client Responsibilities

To deliver effectively, we rely on your timely cooperation. You agree to provide accurate information, necessary access to systems and accounts, required materials and assets, and timely feedback and approvals. Delays in providing these may affect timelines and delivery, and are not the responsibility of KeyBuild.

7. Intellectual Property

• Your content. You retain ownership of all materials, data, and content you provide to us.
• Deliverables. Upon full payment of all applicable fees, ownership of the custom deliverables created specifically for you under a Proposal transfers to you, except as noted below.
• Our tools. We retain all rights to our pre-existing materials, frameworks, internal libraries, templates, and know-how, as well as any general methods or techniques used to deliver the work. We may grant you a license to use these to the extent they are embedded in your deliverables.
• Third-party components. Deliverables may incorporate third-party or open-source components that remain subject to their own licenses.
• Portfolio. Unless agreed otherwise in writing, we may reference the existence of our work for you and display non-confidential aspects in our portfolio.

8. Confidentiality

Each party agrees to protect the other party's confidential information and to use it only as needed to perform under the engagement. This obligation does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

9. Third-Party Services and AI

Our deliverables often rely on third-party platforms and services (for example, model providers, hosting, databases, and payment processors). Your use of those services is subject to their respective terms, and we are not responsible for their availability, performance, pricing, or policies.

AI-generated outputs may contain errors or inaccuracies and should be reviewed by you before being relied upon. You are responsible for how AI features and outputs are used within your business.

10. Warranties and Disclaimers

We will perform our services in a professional and workmanlike manner consistent with the applicable Proposal. Except as expressly stated in a Proposal, our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any specific business result, revenue, or outcome.

11. Limitation of Liability

To the fullest extent permitted by law, KeyBuild and 1001060863 Ontario Corp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to an engagement will not exceed the total fees you paid to us for that engagement in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless KeyBuild, 1001060863 Ontario Corp, and its officers, employees, and contractors from any claims, damages, liabilities, and expenses arising out of your use of the deliverables, your content, or your breach of these Terms.

13. Term and Termination

Either party may terminate an engagement as set out in the applicable Proposal. Upon termination, you agree to pay for all work performed and expenses incurred up to the termination date. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of our website or services after changes take effect constitutes your acceptance of the updated Terms.
